Delivery:
Through our broad distribution network, we are able to provide a fast delivery service to anywhere on the UK mainland. Prices vary according to various factors and we do our best to keep this to a minimum; If you place an order online, we will contact you as soon as possible with the final price before processing your order. We also offer our own 4 weekly van delivery service to our regular customers in London and the South East, which enables you to stock up on bulk items including plaster, stone and investment. Providing the order is over £100 before VAT, then this service is free of charge. All orders that fall under £100 before VAT will be subject to a £5 surcharge.

The listed prices on our website are subject to VAT and serve as a guide only due to various factors and market conditions. Bracon Direct Limited - Delivery Policy:

Where an estimated lead-time or delivery date is stated on the customer’s order paperwork, this is intended by Bracon to act as a guide for the customer only. Time for delivery is not a term of Bracon’s standard terms and conditions of sale. The customer hereby agrees and accepts that any indicated time for delivery (whether communicated to the customer in writing or verbally) may be subject to change and that lead-times may vary.

Bracon does not accept any liability whatsoever for any loss, loss of profit, damage or expense arising either directly or indirectly out of any delay in delivering the goods.

The method of carriage is at Bracon’s sole discretion, and will usually be via Royal Mail, a courier or on a pallet. Unless otherwise agreed in writing, delivery will be by a single consignment to one UK-mainland address. Special instructions relating to transportation, pallet specification, timed deliveries or otherwise not agreed in writing on the customer’s order paperwork must subsequently be agreed in writing, and any extra costs arising from such special instructions are to be paid for by the customer.

The customer and their agents are responsible for providing Bracon with the correct contact details and complete delivery address at the time the customer’s order is placed.

The customer’s delivery address must be manned during Bracon’s delivery agents’ standard delivery hours and have no access or parking restrictions. Please note that the delivery agents’ responsibility to deliver the goods is only to (and no further than) the point of entry to the customer’s premises. In the event of any delivery to the customer outside of Bracon’s delivery agents’ standard delivery hours, any extra costs are to be paid for by the customer.

Bracon does not accept any liability for any problems arising due to damage through mishandling or the incorrect storage of products by the customer or their appointed third-party handling agents.

The products supplied to customers by Bracon have a pre-determined shelf-life/expiry date. This information will be coded by Bracon onto finished goods or detailed on the delivery note for bulk goods. It is the customer’s responsibility to be aware of this information, and to rotate and manage its delivered stock accordingly. It is also the customer’s responsibility to dispose of its out-of-date stock legally and responsibly.

The products supplied to customers by Bracon may require specific storage conditions. It is the customer’s sole responsibility to adhere to these storage conditions, and Bracon does not accept any liability for any problems arising due to the incorrect storage of products by the customer or their appointed third-party handling agents.

Bracon Direct Limited - Returns and Refunds Policy:

In the event that a customer wishes to return any item to Bracon, please note that the customer must first contact Bracon in writing by email to sales@bracon.co.uk within 14 days of the original date of delivery. The customer should allow a reasonable period of time for Bracon to first acknowledge and respond to the customer’s email before the customer returns the returned item(s).

Bracon’s liability to the customer is excluded regarding any proposed return which is communicated to Bracon outside of this 14-day period.

If a customer does contact Bracon by email as above, the customer will then have an additional 14-day period within which to return the returned item(s). The returned item(s) must be unused, in its original condition, and must be returned with the customer’s proof of purchase. Once Bracon has received and verified the returned item(s), Bracon will then arrange for an exchange or a refund to be processed to the original purchaser of the item(s) within a further 14-day period.

Bracon reserves the right to make a handling charge on any goods returned which were returned due to no fault of Bracon.

Special orders are for products which Bracon does not typically stock. Where such item(s) are supplied by Bracon correctly to customers’ specifications, they cannot under any circumstances be returned.

Where applicable, Bracon reserves the right to refuse returns on products with limited expiry dates or expiry dates not within any acceptable resale timescale.

Although Bracon does not implement a free returns policy as standard, please note that Bracon will issue a full refund or process an exchange free of charge to the original purchaser of the item(s) if the returned item(s) in question has been damaged in-transit or there has been a manufacturing fault. In these extremely rare circumstances, the customer’s email should include proof of purchase as well as at least two photographs showing the damaged/faulty item(s).

In the event of a claim by a customer against Bracon in respect of defective goods supplied, Bracon’s liability shall in any event be limited only to the original cost of any goods actually defective. Bracon’s liability for any consequential loss for whatever cause is excluded, save as is prohibited by law.

With regard to defective goods supplied, Bracon will at its discretion repair or replace said goods provided that the defective goods supplied have been used and operated at all times by the customer in accordance with the methods recommended by Bracon or by the relevant manufacturer.

Bracon does not accept the return of purchased samples.

Bracon will not be responsible for any damage to an item which results from unique, accidental, or random customer behavior. Bracon will also not accept any responsibility for any damage to an item resulting from general wear and tear.

Please note that any item returned to Bracon can only be returned and exchanged or refunded on one occasion only. No refunds will be given for taxes, duties, tariffs, and excise charges levied on overseas orders – whether arising from an exchange or a refund.

Bracon Direct Limited - Standard Terms of Sale:

All customer orders are only accepted by Bracon subject to these Terms of Sale (“Terms”), which form part of the Contract of Sale. Unless otherwise agreed in writing, these Terms override any other terms. A binding Contract comes into place on receipt of an order by Bracon (whether communicated to Bracon in writing or verbally) from the customer (“Order”). The Order and these Terms constitute the whole agreement between the parties and replace any earlier contracts or agreements.


1. SPECIFICATION OF GOODS

1.1 Unless expressly specified by the customer in the Order, the suitability of any goods supplied by Bracon for any particular purpose is at the customer’s risk.

1.2 Bracon hereby agrees to deliver goods of satisfactory quality to the customer for the purposes of section 14 of the Sale of Goods Act 1979, in accordance with any expressly specified description by the customer in the Order and any samples supplied - save for minor defects. Minor defects will not justify rejection of the goods by the customer.

1.3 Bracon accepts no responsibility for errors or misunderstandings regarding orders not placed and not confirmed in writing by the customer. In the event of the Order containing written inaccuracies or written errors made by the customer, Bracon accepts no responsibility.


2. QUOTATIONS

All Bracon quotations are valid for 30 days from the date of issue. Unless shown, prices quoted by Bracon exclude VAT and delivery.


3. PAYMENT

3.1 All customer orders must be paid for in full by the customer before delivery, unless otherwise agreed in writing between the parties (for example, where the customer has an accepted monthly account with Bracon). Monthly accounts are strictly net and are payable within 30 days of the date of the statement.

3.2 Value Added Tax (VAT), where applicable, is payable at the rate current as at the date of the invoice on goods and services supplied by Bracon - whether VAT is explicitly included in the invoice.

3.3 Where payment has not been received by Bracon for any goods that have been delivered and invoiced, The Customer shall pay the interest together with the overdue amount at the rate of set in the Late Payment of Commercial Debts (Interest) Act 1998 (as amended) together with a late payment charge as set out in the Late Payment of Commercial Debts Regulations 2002. Such interest shall accrue daily from the due date until actual payment of the overdue amount, whether before or after judgment.

3.4 The Customer shall pay any cost incurred for undertaking legal action to recover any unpaid debts by the Customer to the Supplier, relating to court costs, fees and any external DCA (debt collection agency) fees the supplier incurs.

3.6 The Customer shall pay all amounts due under the Contract in full without any set-off, counterclaim, deduction or withholding (except for any deduction or withholding required by law). Bracon may at any time, without limiting its other rights or remedies, set off any amount owing to it by the Customer against any amount payable by the Supplier to the Customer.

3.7 Where payment has not been received by Bracon for any goods that have been delivered and invoiced, Bracon reserves the right to sell any seized, returned, or surplus goods wherever and whenever it chooses, to the value of the sum outstanding, plus interest and additional charges.

3.8 Leasing, lease/purchase or hire-purchase terms may be arranged through finance houses on items of capital equipment. Details of terms are available on written request.

3.9 Bracon reserves the right to refuse service to anyone, for any reason, and at any time.

3.10 Where applicable, in circumstances where the customer places an order with Bracon and subsequently fails to provide their card payment details in a timely manner, and in any event within five working days of being sent an email payment link to pay for the placed order, then Bracon reserves the right to cancel the customer’s order without the giving of any prior notice to the customer.


4. NON-DELIVERY OR SHORT DELIVERY OF GOODS

4.1.1 In the event that the customer has received a short delivery of goods (i.e. goods are missing from a part-received placed order) then the customer must notify Bracon in writing by email to sales@bracon.co.uk within 7 days of the original date of delivery. Bracon’s liability to the customer is excluded regarding any missing items from a part-received delivery which is not notified to Bracon by the customer in writing within this 7-day period.

4.1.2 In the event that the customer receives delivery of goods via Bracon’s delivery van service, the customer must check the delivered goods at the time of delivery and must immediately notify Bracon of any short delivery of goods whilst the delivery driver is present. Bracon’s liability to the customer under this clause is excluded regarding any missing items from a part-received delivery which is not notified to Bracon (either directly or to the delivery driver at the time of delivery) at the time the delivery driver’s order paperwork is signed by the customer to acknowledge the delivered goods.

4.2 In the event that the customer has not received any delivery of goods (i.e. the total ordered goods from a placed order have never arrived with the customer) then the customer must notify Bracon in writing by email to sales@bracon.co.uk within 14 days of the customer’s date of receipt of Bracon’s invoice for the goods which the customer claims have not been delivered. Bracon’s liability to the customer is excluded regarding any non-delivery of goods which is not notified to Bracon by the customer in writing within this 14-day period.

4.3 Bracon will not be liable to the customer or be deemed to be in breach of contract by reason of any delay in performing, or any failure at all to perform, any of Bracon’s obligations in relation to goods to be supplied to the customer if the delay or failure concerned was due to any cause beyond Bracon’s reasonable control. Without prejudice to the generality of the foregoing, the following shall be regarded as non-exhaustive examples of causes beyond Bracon’s reasonable control:


i. act of God, explosion, flood, tempest, fire, or accident.

ii. war or threat of war, sabotage, insurrection, civil disturbance, or requisition.

iii. acts, restrictions, regulations, byelaws, prohibitions, or measures of any kind on the part of any governmental, parliamentary or local authority.

iv. import or export regulations or embargoes; and/or

v. strikes, lockouts or other industrial actions or trade disputes (whether involving Bracon employees or the staff of any other relevant third party).

4.4 In the event that the customer claims post-delivery of goods supplied by Bracon that the goods have been stolen before the customer took actual physical possession of the delivered goods, then Bracon’s liability to the customer is excluded regarding any stolen delivered goods which had in-fact been delivered to a location approved by the customer as an acceptable delivery ‘safe place’ location.

5. TITLE TO GOODS

5.1 Until such time as the goods have been fully paid for by the customer, title to the goods will remain with Bracon, who may - without prejudice to any other legal remedy - repossess any unpaid-for goods from the customer. Bracon reserves the right, without the giving of any prior notice to the customer, to re-sell any goods which have not been fully paid for from the due date for payment.

5.2 If the customer defaults in payment, whether in full or in part, for the goods, Bracon and its agents are irrevocably authorised by the customer to enter the customer’s premises (without the giving of any prior notice, and at the customer’s cost) for the purpose of collecting and removing the goods.

5.3 From the time of delivery, the goods are at the customer’s risk. It is the customer’s responsibility to arrange adequate insurance cover for this risk until the customer obtains full title to the goods.


6. LIMITATION OF LIABILITY

6.1 In no circumstances whatsoever shall Bracon, its directors, officers, employees, affiliates, agents, contractors, interns, suppliers, service providers or licensors be liable for any injury, loss, claim or any direct, indirect, incidental, punitive, special or consequential damages of any kind - including (without limitation) lost profits, lost revenue, lost savings, loss of data, replacement costs or any similar damages, whether based in contract, tort (including negligence), strict liability or otherwise, arising from the customer’s use of any goods supplied by Bracon - nor for any other claim related in any way to the customer’s use of any goods which have been supplied by Bracon.

6.2 Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions Bracon’s liability shall be limited to the maximum extent as is permitted by such applicable law.


7. PRICES

7.1 Unless covered by the circumstances detailed in clause 7.2 below, the pricing of all goods supplied by Bracon is subject to change at any time, and without the giving of any prior notice to the customer.

7.2 In the event that the customer places an order through Bracon’s online store, the pricing of all goods ordered is subject to change at any time, and Bracon is not obliged to honor any stated prices on Bracon’s online store. However, the customer will be given notice of any increased prices regarding an order which has been placed through Bracon’s online store and said order will not be processed by Bracon until such time as the customer has provided either verbal or written acceptance to the revised, increased price.


8. DELIVERY CHARGES

Within areas of the United Kingdom in which Bracon provides a delivery van service to customers, no delivery charges will be levied to those customers on deliveries sent to the customer via the delivery van service. All other customers will be subject to delivery charges calculated at Bracon’s sole discretion and will be dependent upon the type of goods ordered, the goods’ combined bulk and weight, and any other considerations which Bracon solely deem to be relevant and appropriate (including but not limited to any hazardous/flammable product characteristics).


9. REPRESENTATIONS

9.1 A binding Contract comes into place on receipt of an order by Bracon (whether communicated to Bracon in writing or verbally) from the customer (“Order”). The Order and these Terms constitute the whole agreement between the parties and replace any earlier contracts or agreements.

9.2 For the avoidance of any doubt, no other oral or written terms or representations are included in this Contract, and Bracon does not accept any liability for any such terms or representations.


10. INSOLVENCY

If the customer ceases to pay their debts in the ordinary course of business or the customer cannot pay their debts as they become due, or - being a company - the customer is deemed to be unable to pay its debts or has a winding-up petition issued against it, Bracon - without prejudice to any and all other remedies - shall:

1) have the right not to proceed further with the Contract or any other work for the customer, and shall be entitled to charge for any work already carried out (whether completed or not) and any goods purchased for the customer - such charge to be an immediate debt due to Bracon; and

2) in respect of any and all unpaid debts due from the customer, have a general lien on all goods and property of the customer in the possession of Bracon (whether worked on at all or not), and shall be entitled on the expiration of 14 days’ written notice to the customer or their successors in title to dispose of such goods and property as Bracon thinks fit and to apply the proceeds towards such debts, and account to the customer for any balance.


11. ENTIRE AGREEMENT

11.1 Bracon’s failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

11.2 Any ambiguities in the interpretation of these Terms shall not be construed against Bracon.


12. JURISDICTION

This Contract is deemed to be made in England. The construction, validity and performance of this Contract shall be governed by the laws of England and Wales. Any legal proceedings in relation to this Contract shall be pursued in the Courts of England and Wales.


13. NOTICES AND SERVICE OF DOCUMENTS

All notices and any Court proceedings may be validly served on the relevant party by delivering a copy in a sealed envelope addressed to the party at that party’s address given on the Order and/or at any other business premises at which the party is trading at the date of service. Such a service is deemed effective on the next business day after service - save that service by Royal Mail is deemed effective on the second business day after posting by First Class post.
